Providing legal support in relation to the major debt restructuring of MMC (restructuring of Notes, Indentures and Loan Facility agreements and secured transactions)

Drafting and reviewing security transaction documents and their perfection/registration

Ensuring the compliance of agreements, financial transactions, legal and other corporate documents with Mongolian laws, regulations and all relevant Rules of the Stock Exchange of Hong Kong, corporate internal rules and financing transaction documents

Advising on and assisting the FRC with drafting new regulations for secondary listing in Mongolia of foreign listed companies.

Preparing various commercial agreements in the infrastructure space, including FIDIC and EPC agreements for infrastructure construction, offtake agreements for Energy/Power Plant Projects, coal sales agreements, commercial agreements on transportation and logistics, equipment rent and lease, and insurance

Preparing various legal and corporate documents including shareholders’ and board resolutions, and other information, announcements, and reports required to be disclosed to shareholders and the public.
